Terms and Conditions of the use of ONDROX Web Site

LSI America Corporation (LSI), the vendor of Ondrox, may amend these Terms and Conditions at any time by posting the amended Terms and Conditions on the Site and announcing such changes on the Site.

Except as stated below, all amended Terms and Conditions shall be automatically effective after they are posted on the Site.

1. Nature of the Site
   The information contained in the Site, other than the specifications of Ondrox, is for general information purposes only. The information is provided by LSI and whilst we endeavour to keep the information up-to-date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the Site or the information, products, services, or related graphics contained on the Site for any purpose.
2. Site Performance
   Every effort is made to keep the Site up and running smoothly. However, LSI takes no responsibility for, and will not be liable for, the Site being temporarily unavailable due to technical issues beyond our control. LSI does not warrant any continuity of connection, transmission over security or results from the use of any network connection or facilities provided or omitted to be provided in connection with the use of the Site.
3. Taxes
   LSI accepts no responsibility for taxes and other governmental levies, if any, on transactions effected as a direct or indirect result of the use of the Site. If the Services provided become subject to sales tax in any jurisidiction, it will be payable by the user of the Site.
4. Changes on the Site
   LSI reserves the right to change the content, presentation, performance, user facilities and availability of any part of the Site at its sole discretion and without notice. It is your responsibility to refer to and update itself in relation to any changes made. Any such changes will become effective upon posting by LSI.
5. Linkage to other Sites
   Where LSI provides hyperlinks to a third party web-site, LSI shall not take any responsibility for nor does it make any warranties, representations or undertakings about the content of any other web-site which may be referred to or accessed by the hyperlink and LSI does not endorse or approve the content of such third parties web-sites.
6. Performance of Services
   Quality and timeliness of Services will be provided in good faith and on our best efforts basis, but are subject to force majeure conditions, or conditions beyond the control of LSI, including but not by way of limitation, political or governmental interference.
7. Liability Limit
   In no event shall LSI or its suppliers be liable for consquential damage including any lost profits, lost sales, lost business, lost opportunity, lost information, lost anticipated savings, or special, indirect damages (however arising, including as a result of negligence) arising out of or in connection with the provision of products or Services. Accordingly, you agree not to bring a claim of any nature against LSI in relation to the use of our Servides or access to the Site, except where such a claim cannot be excluded by law. You acknowledge and agree that LSI will have the right (subject to the discretion of the Court) to a stay of proceeding if you bring any claim against LSI in breach of the foregoing.
8. Legal Compliance
   You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our products or Services.
9. Notices
   All notices required to be served on LSI shall be sent to the contact address stated in the Site, or to the e-mail address of LSI.
10. Arbitration
    Any controversy or claim arising out of or relating to this Agreement or LSI's Services shall be settled by an arbitration tribunal designated by LSI. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the U.S.A., and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or LSI may seek any interim or preliminary relief from a court of competent jurisdiction necessary to protect the rights or property of you or us pending the completion of arbitration.
11. Intellectual Property
    You acknowledge that the ownership in any intellectual property rights (including, for the avoidance of doubt, patents, copyright, rights in databases, trade marks and trade names) in the Site belongs to LSI or its third party licensors. Accordingly, any part of this Site (or its source HTML code) may not be used, transferred, copied or reproduced in whole or in part in any manner other than for the purposes of utilising this Site, meaning that you may only display it on its computer screen and print it out on its printer for the sole purpose of viewing its content in connection with the use of the Site.
12. General
    

    12.1: This Agreement shall be governed in all respects by the laws of in the United States as if the Agreement was a contract wholly entered into and wholly performed within the United States.

    12.2: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out of these Terms and Conditions and the remaining provisions shall remain in force. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. LSI's failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

    12.3: The laws of your country may be different from those in the U.S. There is no practical way for LSI to monitor all applicable laws of every country in detail. Please do not assume that you are allowed to do what U.S. residents do. LSI does not approve or validate transactions, advice or communications, and you accept sole responsibility for the legality of your actions under laws applying to you.

    12.4 You are responsible for checking that your activities are all lawful according to the local laws in your country.
